NOTICE IS HEREBY GIVEN that a Public Hearing will be held by the City Council of the City of Albany, Oregon (the “City”) on Wednesday, February 11, 2026, at 6:00 p.m., in the City Council Chambers, City Hall, 333 Broadalbin Street SW, Albany, Oregon 97321.  The purpose of the hearing is to hear public comment on a request by Mennonite Home of Albany, Inc. (the “Borrower”), a nonprofit corporation organized and existing under the laws of the State of Oregon and an organization described in Section 501(c)(3) of the Internal Revenue Code of 1986 (the “Code”), to the Hospital Facility Authority of the City of Albany, Oregon (the “Authority”), to issue its senior living revenue bonds, in one or more series pursuant to a plan of finance, in a maximum aggregate principal amount not to exceed $100,000,000 (collectively, the “Bonds”). 

The Bonds are expected to be issued pursuant to Oregon Revised Statutes Sections 441.525 to 441.595 inclusive, as amended, and the proceeds from the sale of the Bonds will be loaned to the Borrower and are expected to be used for the purpose of financing and refinancing all or a portion of the costs of the capital construction, development, improvement, renovation and equipping of an expansion project and certain other capital improvements and renovations at the Borrower’s continuing care retirement facilities located at 5353 Columbus Street SE, Albany, Oregon 97322 (collectively, the “Projects”), in a maximum aggregate principal amount not to exceed $100,000,000. 

The Borrower is the owner, manager and operator of the Projects.

The principal of and interest on the Bonds will not constitute a debt or other obligation of the City, nor shall the Bonds be payable from a tax of any nature levied upon any property within the City, nor within any other political subdivision of the State of Oregon.  The Authority has no taxing power.  The Bonds will be limited obligations of the Authority, payable only from revenues and resources provided or arranged by the Borrower pledged to the payment of the Bonds and any credit enhancement arranged for by the Borrower. 

Section 147(f) of the Code requires that qualified 501(c)(3) bonds, such as the Bonds, must be approved by the applicable elected representatives of the governmental unit having jurisdiction over the area in which the assets being financed and refinanced by the Bonds are located.  The City Council as the applicable elected representatives of the City will consider a Resolution approving of the issuance of the Bonds for purposes of Section 147(f) of the Code.

The public hearing will provide a reasonable opportunity for members of the public to express their views, orally or in writing, regarding the issuance of the Bonds and the uses and purposes of the proceeds of the Bonds.  The hearing will be conducted in a manner that provides a reasonable opportunity for persons with differing views to be heard on the question of the issuance of the Bonds.  Written comments may be delivered at the public hearing or mailed to the City at the address indicated above. 

This notice is published pursuant to the public approval requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended and the regulations and rulings issued thereunder.
